This document ("Offer") is LLC VK (registration number: 1027739850962) with its registered office located at 39 bldg 79, Leningradskiy prospect, Moscow, Russia, 125167 ("Company") official proposal to enter into an advertising services contract between the Company and You ("Advertiser") on the terms set out in the present Offer.;Настоящий документ («Оферта») представляет собой официальное предложение ООО «ВК» (ОГРН 1027739850962), юридический адрес: 125167, Россия, г. Москва, Ленинградский проспект, д. 39, стр. 79 («Компания») заключить договор на оказание рекламных услуг между Компания и Вами («Рекламодатель») на условиях, изложенных в настоящей Оферте. <b>1. PROCEDURE FOR CONCLUSION OF THE CONTRACT. ACCEPTANCE OF THE OFFER</b>;<b>1. ПОРЯДОК ЗАКЛЮЧЕНИЯ ДОГОВОРА. АКЦЕПТ ОФЕРТЫ</b> 1.1. The Contract, under the conditions of the present Offer ("Contract"), is concluded between the Parties at the time of the Advertiser's acceptance of all the conditions of the present Offer. Acceptance of the Offer with reservations is not allowed.;1.1. Договор на условиях настоящей Оферты («Договор») заключается между Сторонами в момент принятия Рекламодателем всех условий настоящей Оферты. Акцепт Оферты с оговорками не допускается. 1.2. The Advertiser accepts the Offer during the process of registering in the Company's System by ticking a checkbox to confirm that the Offer was read and the terms are accepted and/or by the Advertiser paying an invoice submitted electronically in the Advertiser's Member Area or by other means agreed by the Parties. The specific way in which acceptance of the terms of the Offer is expressed by ticking a checkbox is determined by the interface of the Company's System. The Advertiser cannot register in the Company's System and receive access to a Member Area without confirming acceptance of the terms of the Offer.;1.2. Рекламодатель принимает Оферту в процессе регистрации в Системе Компании, проставляя флажок в чекбоксе, подтверждающий, что Оферта прочитана и условия приняты, и/или путем оплаты Рекламодателем счета, представленного в электронном виде в Личном кабинете Рекламодателя или иным способом, согласованным Сторонами. Конкретный способ выражения согласия с условиями Оферты путем установки флажка определяется интерфейсом Системы Компании. Рекламодатель не может зарегистрироваться в Системе Компании и получить доступ в Личный кабинет без подтверждения согласия с условиями Оферты. 1.3. By accepting the Offer, the Advertiser acknowledges and confirms that it has read and fully agreed to the terms and conditions of the following documents, which are an integral part of the present Offer and the Contract and are obligatory for the Parties: <br>(a) the Company's requirements for the Advertising materials (content and form of placement) available at <a href="/adv/doc">/adv/doc</a> <br>(b) the procedure and parameters for the Advertising materials placement available at <a href="/adv/doc">/adv/doc</a> <br>(c) the Rules for rendering of advertising services for direct Advertisers available at <a href="/adv/rules-juridical-advert">/adv/rules-juridical-advert</a> ("Rules").;1.3. Акцептом Оферты Рекламодатель признает и подтверждает, что ознакомился и полностью согласен с условиями следующих документов, являющихся неотъемлемой частью настоящей Оферты и Договора и обязательных для Сторон:<br>(а) Требования Компании к Рекламным материалам (содержанию и форме размещения) доступны по ссылке <a href="/adv/doc">/adv/doc</a> <br>(б) порядок и параметры размещения Рекламных материалов, доступные по адресу <a href="/adv/doc">/adv/doc</a> <br>(c) Правила оказания рекламных услуг для прямых Рекламодателей, доступные по адресу <a href="/adv/rules-juridical-advert">/adv/rules-juridical-advert</a> («Правила»). <b>2. SUBJECT OF THE CONTRACT</b>;<b>2. ПРЕДМЕТ ДОГОВОРА</b> 2.1. The Company undertakes, in exchange for remuneration, the amount and procedures of which are determined in accordance with the terms of this Offer (Contract), to provide the Advertiser with the ability to place its own Advertising materials in the Information Space of the Company using the Company's System ("Placement Services"), and the Advertiser undertakes to pay for the rendered services in a timely manner.;2.1. Компания обязуется за вознаграждение, размер и порядок которого определяются в соответствии с условиями настоящей Оферты (Договора), предоставить Рекламодателю возможность размещать собственные Рекламные материалы в Информационном пространстве Компании с использованием Системы Компании («Услуги по размещению»), а Рекламодатель обязуется своевременно оплачивать оказанные услуги. 2.2. The procedure for the provision of the Placement Services specified in the Rules.;2.2. Порядок оказания Услуг по размещению указан в Правилах. 2.3. If Advertising materials are shown to consumers located in Russia, such Advertising materials must be marked as "Avertising" and contain information about the Advertiser. The Advertiser shall provide the Company with true and complete information about the Advertiser prior to placing Advertising materials, and shall choose one of the ways offered by the Company to bring this information to consumers in the territory of the Russian Federation. The Company may refuse to place Advertising materials or stop placing them if the Advertiser violates this condition. In case of breach or incorrect fulfillment of this requirement by the Advertiser, if it caused damage to the Company, the Advertiser shall (on demand of the Company) indemnify such damage in full, as well as expenses incurred by the Company in case of its appealing in court.;2.3. В случае демонстрации Рекламных материалов потребителям, находящимся на территории России, такие Рекламные материалы должны быть помечены как «Реклама» и содержать информацию о Рекламодателе. Рекламодатель обязуется предоставить Компании достоверную и полную информацию о Рекламодателе до размещения Рекламных материалов и выбрать один из предложенных Компанией способов доведения этой информации до потребителей на территории Российской Федерации. Компания вправе отказать в размещении Рекламных материалов или прекратить их размещение в случае нарушения Рекламодателем данного условия. В случае нарушения или ненадлежащего исполнения Рекламодателем данного требования, если это причинило ущерб Компании, Рекламодатель обязуется (по требованию Компании) возместить такой ущерб в полном объеме, а также расходы, понесенные Компанией в случае его обжалование в суде. <b>3. PAYMENT AND SETTLEMENT PROCEDURE</b>;<b>3. ПОРЯДОК ОПЛАТЫ И РАСЧЕТОВ</b> 3.1. The Placement Services cost shall be determined by the Company's System using the Auction as described at <a href="/adv/doc">/adv/doc</a> . By performing certain actions (including, but not limited to, clicking "Create campaign" or other button in the Member Area) the process of selection by the Advertiser of the parameters for the Advertising materials placement proposed by the Company's System shall be terminated and agreement of the Advertiser with the Placement Services cost and the Advertising Materials placement terms and conditions shall be expressed. The Placement Services cost shall be calculated subject to the currency selected by the Advertiser in the Company's System.;3.1. Стоимость Услуг размещения определяется Системой Компании с использованием Аукциона, как описано на странице <a href="/adv/doc">/adv/doc</a>. Совершением определенных действий (в том числе, но не ограничиваясь, нажатием кнопки «Создать кампанию» или иной кнопки в Личном кабинете) процесс выбора Рекламодателем параметров размещения Рекламных материалов, предложенных Системой Компании, прекращается и согласие Рекламодателя с указанием стоимости Услуг по размещению и условий размещения Рекламных материалов. Стоимость Услуг размещения рассчитывается в валюте, выбранной Рекламодателем в Системе Компании. 3.2. The Company shall monthly generate an Act on the provided Services ("Act") through the Company's System proving the fact of the Placement services rendering for the Reporting Period within seven (7) business days from the end date of the Reporting Period.;3.2. Компания ежемесячно формирует через Систему Компании акт об оказанных Услугах («Акт»), подтверждающий факт оказания услуг по размещению за Отчетный период, в течение 7 (семи) рабочих дней с даты окончания Отчетного периода. 3.3. Unless otherwise agreed by the Parties and specified in the relevant agreement hereto, the Placement Services shall be paid for by the Advertiser on conditions of advance payment of one hundred percent (100%) of the cost of the relevant Advertising materials placement.;3.3. Если иное не согласовано Сторонами и не указано в соответствующем дополнительном соглашении к настоящему Договору, Услуги по размещению оплачиваются Рекламодателем на условиях предварительной оплаты в размере 100 % от стоимости размещения соответствующих Рекламных материалов. 3.4. The Placement Services shall be paid for by bank transfer in the manner specified in the Rules. All the costs related to fulfilment by the Advertiser of the obligations of money transfer to the Company shall be incurred by the Advertiser.;3.4. Услуги по размещению оплачиваются по безналичному расчету в порядке, указанном в Правилах. Все расходы, связанные с исполнением Рекламодателем обязательств по перечислению денежных средств Компании, несет Рекламодатель. 3.5. Absence of substantiated objections to the Act for 5 (five) calendar days from the date of receiving the Act shall be considered as the acceptance of the Placement Services rendered by the Company.;3.5. Отсутствие обоснованных возражений по Акту в течение 5 (пяти) календарных дней с даты получения Акта считается акцептом оказанных Компанией Услуг по размещению. 3.6. The Advertiser confirms that the location of its executive body is outside the territory of the Russian Federation, that the place of management of the Advertiser is outside the territory of the Russian Federation, that the Advertiser has no permanent representative office in the Russian Federation, and that the Russian Federation is not indicated as the place of business in the founding documents of the Advertiser. In this connection the Advertiser states that it does not have on the territory of the Russian Federation a place of business for VAT purposes in accordance with Article 148 of the Tax Code of the Russian Federation. <br><br>On the basis of these statements the territory of the Russian Federation is not recognized as the place of sale of placement services that are the subject of this Agreement, as a consequence of which the said services are not subject to VAT. If in the future circumstances are revealed that allow the tax authorities to legally charge VAT under this Agreement in accordance with the current legislation, and the Company has an obligation to pay VAT to the Russian budget, the Advertiser shall reimburse to the Company the amount of VAT paid as well as the amount of fines and penalties accrued in this regard.;3.6. Рекламодатель подтверждает, что место нахождения его исполнительного органа находится за пределами территории Российской Федерации, что место управления Рекламодателя находится за пределами территории Российской Федерации, что у Рекламодателя отсутствует постоянное представительство в Российской Федерации, а также что Российская Федерация не указана местом осуществления деятельности в учредительных документах Рекламодателя. В связи с этим Рекламодатель заявляет, что не имеет на территории Российской Федерации места осуществления деятельности для целей НДС в соответствии со статьей 148 Налогового кодекса Российской Федерации. <br><br>На основании данных заявлений территория Российской Федерации не признается местом реализации Услуг размещения, являющихся предметом настоящего Договора, вследствие чего указанные услуги не подлежат обложению НДС. Если в будущем раскроются обстоятельства, позволяющие налоговым органам на законных основаниях начислять НДС по настоящему Договору в соответствии с действующим законодательством, и у Компании возникнет обязательство по уплате НДС в российский бюджет, Рекламодатель возмещает Компании сумму уплаченного НДС, а также сумму начисленных в этой связи пеней и штрафов. <b>4. TERM AND TERMINATION. AMENDMENT OF THE CONTRACT</b>;<b>4. СРОК И ПРЕКРАЩЕНИЕ. ИЗМЕНЕНИЕ ДОГОВОРА</b> 4.1. The current version of the Contract (Offer) is available at <a href="/help/advertisers/offer-juridical-advert-vk/en">/help/advertisers/offer-juridical-advert-vk/en</a> . The Company shall be entitled to add, to delete from or to modify the Contract (Offer) (including the Rules) at any time. The Advertiser should look at the Contract regularly. The changes will become effective immediately after posting.;4.1. Текущая редакция Договора (Оферты) доступна по адресу <a href="/help/advertisers/offer-juridical-advert-vk/ru">/help/advertisers/offer-juridical-advert-vk/ru</a> Компания вправе в любое время дополнить, исключить или изменить Договор (Оферту) (в том числе Правила). Рекламодатель должен регулярно просматривать Договор. Изменения вступают в силу сразу после публикации. 4.2. If the Advertiser disagrees with the new version of the Contract (including the Rules), the Advertiser shall notify the Company of its unilateral withdrawal from the Contract, in writing, within seven (7) calendar days from the date the revised Contract enters into force. Otherwise, the revised Contract shall be deemed accepted by the Advertiser.;4.2. В случае несогласия Рекламодателя с новой редакцией Договора (включая Правила), Рекламодатель обязан уведомить Компанию о своем одностороннем отказе от Договора в письменной форме в течение 7 (семи) календарных дней с даты вступления в силу новой редакции Договора. В противном случае новая редакция Договора считается принятой Рекламодателем. 4.3. Either Party shall be entitled to terminate the Contract subject to the written notice to the other Party in ten (10) calendar days prior to the expected date of termination.;4.3. Любая из Сторон вправе расторгнуть Договор при условии письменного уведомления другой Стороны за 10 (десять) календарных дней до предполагаемой даты расторжения. 4.4. In case of breach of the Contract by the Advertiser, the Company shall be entitled to unilaterally terminate the Contract without any compensation to the Advertiser for losses resulting from such termination, by notifying the Advertiser of the termination by email.;4.4. В случае нарушения Договора Рекламодателем Компания вправе в одностороннем порядке расторгнуть Договор без какой-либо компенсации Рекламодателю убытков, возникших в результате такого расторжения, уведомив Рекламодателя о расторжении по электронной почте. 4.5. The Company may transfer and/or assign any of its rights and obligations under this Contract including the right to demand payment, as well as delegate them to third parties without the Advertiser's consent upon a written notice to the Advertiser. The Advertiser may not transfer or assign any of its rights and obligations under this Contract, as well as delegate them to third parties without the Company's consent.;4.5. Компания вправе передавать и/или переуступать любые свои права и обязанности по настоящему Договору, в том числе право требовать оплаты, а также предоставлять их третьим лицам без согласия Рекламодателя с письменным уведомлением Рекламодателя. Рекламодатель не вправе передавать или переуступать какие-либо свои права и обязанности по настоящему Договору, а также делегировать их третьим лицам без согласия Компании. <b>5. MISCELLANEOUS</b>;<b>5. ИНОЕ</b> 5.1. Invalidity of any of the provisions of this Contract shall not cause invalidity of other provisions or the Contract as a whole.;5.1. Недействительность любого из положений настоящего Договора не влечет недействительности других положений или Договора в целом. 5.2. The Contract shall remain valid in case of change of the Parties' details, amendments to the foundation documents thereof, change of form of incorporation, ownership of one or both Parties.;5.2. Договор остается в силе в случае изменения реквизитов Сторон, внесения изменений в его учредительные документы, изменения организационно-правовой формы, собственности одной или обеих Сторон. 5.3. The Contract, its conclusion and performance shall be construed and governed by law of the Russian Federation. Any dispute arising out of or in connection with the Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Arbytrazhny (Arbitration) court of Moscow.;5.3. Договор, его заключение и исполнение толкуются и регулируются законодательством Российской Федерации. Любой спор, возникающий из Договора или в связи с ним, включая любой вопрос относительно его существования, действительности или прекращения, подлежит передаче и окончательному разрешению в Арбитражном суде г. Москвы. 5.4. All capitalized terms herein shall have the meaning set forth in the Rules.;5.4. Все термины, написанные с заглавной буквы, имеют значение, указанное в Правилах. 5.5. The Contract (including the Rules) together with any addendums and supplementary agreements, constitutes the entire agreement between the Parties with respect to the subject matter hereof, and supersedes all prior agreements, understandings and communications, oral or written, between the parties related to such subject matter (other than any such made fraudulently).;5.5. Договор (включая Правила) вместе с любыми приложениями и дополнительными соглашениями составляет полное соглашение между Сторонами в отношении предмета настоящего Договора и заменяет собой все предыдущие соглашения, договоренности и сообщения, устные или письменные, между сторонами в отношении его предмета (кроме тех, что совершены недобросовестным путем). 5.6. The Advertiser may not assign the Contract in whole or part, whether by operation of law or otherwise, without the prior written consent of the Company (not to be unreasonably withheld).;5.6. Рекламодатель не может уступать Договор полностью или частично, будь то в силу закона или иным образом, без предварительного письменного согласия Компании (в котором не будет необоснованно отказано). 5.7. Unless otherwise provided herein all notices shall be sent by the Parties via e-mail or via myTarget System.;5.7. Если иное не предусмотрено настоящим Договором, все уведомления направляются Сторонами по электронной почте или посредством Системы myTarget. 5.8. The current version of the Offer is published and shall enter into force upon December 1st, 2022. The changes will become effective immediately after posting. For the avoidance of doubt, should the Contract be entered into after December 1st, 2022, the relations of the Parties shall be governed by the Contract, based on the current version of the Offer, from December 1st, 2022.;5.8. Актуальная редакция Оферты опубликована и вступает в силу с 1 декабря 2022 года. Изменения вступают в силу сразу после размещения. Во избежание сомнений, в случае заключения Договора после 1 декабря 2022 года отношения Сторон регулируются Договором на основании действующей редакции Оферты с 1 декабря 2022 года. <b>6.
